• Pay all fees according to the agreed-upon payment schedule
• Comply with all applicable laws and regulations

4. Intellectual Property

4.1 Our Intellectual Property

Upon full payment, you will own the final deliverables created specifically for you. We retain ownership of:

• Pre-existing materials, tools, and frameworks
• General design elements and concepts not specific to your project
• Draft materials and work-in-progress until final payment

4.2 Your Intellectual Property

You retain ownership of all materials and content you provide to us. You grant us a limited license to use these materials solely for providing our services to you.

5. Payment Terms

Payment terms are as follows:

• 50% deposit required before project commencement
• Remaining balance due upon project completion
• Monthly retainer services billed in advance
• Invoices due within 30 days of receipt
• Late payments may incur interest at 1.5% per month

6. Project Scope and Changes

Project scope is defined in the initial proposal or statement of work. Additional requests or scope changes may result in additional fees and extended timelines. We will communicate any changes to scope before implementation.

7. Confidentiality

We agree to keep confidential all proprietary information shared by you during our business relationship. This obligation survives the termination of our agreement.

8. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care consistent with industry standards. We do not warrant specific results, rankings, or outcomes. All other warranties, express or implied, are disclaimed to the fullest extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the total fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• All outstanding fees become immediately due
• We will deliver all completed work product
• Work-in-progress may be delivered at our discretion with full payment

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or notice on our website. Your continued use of our services after such changes constitutes acceptance of the modified terms.
